Job Overview:
A leading national law firm is seeking an experienced Senior Counsel to join its Pensions, Benefits & Investments practice group. This position is suited for a highly skilled attorney with at least 8 years of experience advising on private fund investments and/or public market transactions. Candidates should have worked across various asset classes on either the investor or manager side. This is a non-partner track position that offers the opportunity to handle high-impact, complex legal matters across the firm's client base.

Location:

  • Irvine, CA

Duties:

  • Advise institutional clients on private fund investments, including legal structuring and compliance

  • Draft, review, and negotiate fund documents, side letters, and investment management agreements

  • Represent clients in public market transactions and related regulatory matters

  • Provide counsel on fiduciary responsibilities and governance structures

  • Manage multiple high-level projects and maintain ownership over complex transactional matters

  • Collaborate with attorneys across practice groups to deliver comprehensive legal solutions

Requirements:

  • Minimum of 8 years of experience in private funds, pensions, benefits, or investment law

  • Experience with multiple asset classes and fund types on the investor or manager side

  • Proven ability to independently manage complex legal projects and client relationships

  • Strong organizational skills and ability to prioritize competing demands

Education:

  • Juris Doctor (J.D.) from an accredited law school

  • Strong academic credentials preferred

Certifications:

  • Must be admitted to the bar in the state where the attorney will be located

Skills:

  • In-depth knowledge of fund structures, capital commitments, and fiduciary frameworks

  • Advanced drafting and negotiation skills in the context of investment documentation

  • Strong analytical, research, and communication abilities

  • Capable of operating in a collaborative, cross-office team environment

  • Business-oriented mindset with client-focused problem-solving skills
