Job Overview:

A prominent law firm located in Washington, DC is seeking a talented and driven associate attorney with 2–3 years of post-law school experience to join its Tax group. This position focuses on high-level transactional tax matters and fund-related legal work. The successful candidate will play a key role within a collaborative legal team advising on sophisticated investment structures and tax-efficient strategies. Duties:

  • Advise clients on tax matters related to fund formation and structuring

  • Draft and review LLC agreements and partnership tax provisions

  • Guide on tax issues in M&A transactions, including acquisitions, mergers, and divestitures

  • Conduct legal research and prepare memoranda on complex tax topics

  • Work closely with partners and senior attorneys on cross-functional legal teams

  • Assist with tax planning and entity selection strategies for clients

  • Contribute to transactional due diligence and risk assessment processes

  • Support ongoing client counseling and legal compliance matters

  • Participate in client meetings and external communications

Requirements:

  • 2-3 years of experience practicing tax law in a law firm or equivalent setting

  • Exposure to fund structuring, investment management tax issues, and partnership taxation

  • Experience handling transactional tax matters, including M&A and divestiture tax planning

  • Exceptional legal drafting, analytical, and communication abilities

  • Ability to manage competing priorities and deliver high-quality work under deadlines

  • Comfortable working in a team-focused and fast-paced environment

  • AmLaw 100 or equivalent large law firm background is strongly preferred

Education:

  • Juris Doctor (JD) from an ABA-accredited law school

Certifications:

  • Active membership in good standing with the District of Columbia Bar

Skills:

  • Advanced knowledge of federal income tax laws and partnership taxation

  • Strong research and writing skills with keen attention to detail

  • Excellent interpersonal and client service skills

  • Demonstrated initiative and problem-solving aptitude

  • Organizational and time management strengths
