A law firm in New York City is seeking a Junior Tax Executive Compensation, Employment, and Benefits Associate Attorney. The ideal candidate should possess a minimum of 2 years of experience in benefits and compensation matters, with a strong foundation in tax law related to executive compensation, employment, and employee benefits. This role requires a proactive individual with Bar admission who can contribute effectively to client matters and collaborate within a team environment.

 

Duties and Responsibilities:

  • Advise clients on executive compensation plans, including equity-based compensation, deferred compensation, and other incentive programs.
  • Draft and review employment agreements, severance agreements, and equity compensation plans.
  • Counsel clients on compliance with federal and state tax laws, ERISA, and other regulatory requirements related to employee benefits and executive compensation.
  • Assist in the negotiation and drafting of executive compensation provisions in M&A transactions and other corporate transactions.
  • Conduct legal research and analysis on complex tax issues pertaining to employee benefits and executive compensation.
  • Provide support in IRS audits, corrections under employee benefit plans, and compliance matters.
  • Collaborate with other practice groups within the firm on employment-related litigation, including wage and hour disputes and employment discrimination matters.
  • Stay updated on legal developments and industry trends related to executive compensation, employment law, and employee benefits.

 

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar or eligibility for admission by waiver.
  • Minimum of 2 years of relevant experience focusing on executive compensation, employment law, and employee benefits.
  • Solid understanding of federal and state tax laws, ERISA, and regulations governing employee benefits.
  • Strong analytical skills with the ability to interpret complex legal documents and statutes.
  • Excellent drafting and communication skills, with attention to detail.
  • Ability to work effectively in a team environment and manage multiple client matters simultaneously.

 

Preferred Skills:

  • Experience advising clients in the financial services industry or technology sector.
  • Background in negotiating and drafting executive compensation arrangements in corporate transactions.
  • Familiarity with international executive compensation and benefits issues.
