Job Overview:
A prominent international law firm is seeking a talented Corporate Transactions Associate with 4–6 years of experience to join its New York office. This role involves working within a corporate transactional group embedded in the tax department and offers exposure to a wide array of complex business deals. The ideal candidate will bring broad-based transactional experience, including private equity M&A, financings, joint ventures, and strategic alliances, along with strong academic credentials and prior law firm experience.

Location:

  • New York, NY

Duties:

  • Advise clients on complex corporate transactions including mergers, acquisitions, and financings

  • Structure and draft agreements related to private equity deals, joint ventures, and strategic partnerships

  • Support investment fund restructuring and other cross-border and domestic business transactions

  • Collaborate closely with attorneys in the tax department and other cross-functional teams

  • Conduct due diligence and risk assessments for ongoing and potential transactions

  • Participate in negotiations and assist with closing transactions

Requirements:

  • 4–6 years of corporate transactional experience at a reputable law firm

  • Strong interest in working across multiple transactional areas

  • Experience in private equity, finance, joint ventures, and/or fund restructurings

  • Demonstrated ability to manage multiple deals simultaneously

Education:

  • Juris Doctor (J.D.) from a top U.S. or Canadian law school

Certifications:

  • Admission to the New York State Bar (or ability to waive in)

Skills:

  • Excellent drafting, negotiation, and analytical skills

  • Strong interpersonal skills and ability to work collaboratively with clients and colleagues

  • High attention to detail and ability to manage complex deal flow

  • Effective time management and organizational abilities
