A law firm is seeking a talented Junior or Mid-level/Senior Executive Compensation and Benefits Associate Attorney to join the team in Palo Alto. The ideal candidate will have experience in executive compensation and benefits, particularly in mergers and acquisitions, financings, IPOs, executive terminations and hires, stock compensation plans, nonqualified deferred compensation, ERISA, group benefit plans, and public company reporting. They will be involved in research, document preparation, client interactions, mentoring, and contributing to a collaborative legal team.

 

Duties:

  • Work on all aspects of the executive compensation and benefits practice.
  • Conduct legal research and draft legal documents.
  • Interact directly with firm clients on sophisticated transactions.
  • Mentor junior associates and share experience and skills.
  • Uphold ethics and conduct codes necessary for legal practice.

 

Requirements:

  • Bachelor's degree and JD (Juris Doctor) or foreign equivalent.
  • LLM (Master of Laws) will be accepted in lieu of a JD degree.
  • Bar admission required.
  • Excellent academic record.
  • Outstanding analytical, research, and writing skills.
  • Exceptional interpersonal and communication skills.

 

Preferred Skills:

  • Experience working with public and private employers, including start-up companies.
  • Familiarity with Section 280G analysis, Section 409A, and ERISA.
  • Knowledge of public company reporting and disclosure obligations.
  • Ability to work in a fast-paced, dynamic environment.

 

Education & Certifications:

  • JD (Juris Doctor) or LLM (Master of Laws) degree required.
  • Bar admission in relevant jurisdiction.
