A law firm in Charlotte is seeking a Private Equity/Mergers and Acquisitions Associate Attorney with 5-6 years of experience. The ideal candidate should possess the ability to lead M&A transactions from start to finish, including drafting and negotiating complex transaction documents. Preference will be given to candidates with experience in private equity-led M&A transactions.

 

Duties:

  • Lead M&A transactions from initiation to completion.
  • Draft and negotiate complex transaction documents, including merger agreements, stock purchase agreements, and ancillary agreements.
  • Conduct due diligence reviews for M&A transactions.
  • Advise clients on legal and regulatory issues related to M&A transactions.
  • Coordinate with clients, opposing counsel, and other parties involved in transactions.
  • Provide legal advice and guidance on corporate governance matters.
  • Assist with post-closing integration and compliance matters.
  • Collaborate with partners and senior attorneys on M&A matters.
  • Stay updated on relevant laws, regulations, and industry trends.

 

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • 5-6 years of experience in mergers and acquisitions.
  • Experience with private equity-led M&A transactions preferred.
  • Strong drafting and negotiation skills.
  • Excellent communication and interpersonal skills.
  • Ability to manage multiple tasks and meet deadlines.
  • Detail-oriented with strong analytical skills.
  • Admitted to the Bar in the state of North Carolina, or eligible for admission.

 

Education:

Juris Doctor (JD) degree from an accredited law school.

 

Certifications:

Admitted to the Bar in the state of North Carolina, or eligible for admission.

  • Ability to lead M&A transactions independently.
  • Proficiency in drafting and negotiating complex transaction documents.
  • Knowledge of corporate governance principles.
  • Strong communication and interpersonal skills.
