A law firm in Charlotte, NC, is seeking a Funds Associate Attorney with 4-6 years of substantial experience in private equity fund formation and related matters. The ideal candidate will have a strong background in assisting private equity fund sponsors, reviewing fund documentation, and structuring governing documents for private equity fund management companies.

Duties:

  • Assist private equity fund sponsors in fund formation matters, including the preparation and negotiation of fund private placement memoranda, partnership agreements, and related ancillary agreements.
  • Review fund documentation on behalf of institutional investors and negotiate fund terms.
  • Structure and draft governing documents related to private equity fund management companies and general partners.
  • Stay current with relevant securities rules and regulations, including the Investment Advisers Act.
  • Provide support for private equity "secondary" transactions when necessary.

Requirements:

  • 4-6 years of significant experience in private equity fund formation and related matters.
  • Experience at a large law firm or in-house setting, preferably.
  • Admission to the State Bar of North Carolina.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admission to the State Bar of North Carolina.

Skills:

  • Strong understanding of private equity fund formation and related legal matters.
  • Proficiency in the preparation and negotiation of fund private placement memoranda and partnership agreements.
  • Negotiation skills for fund terms.
  • Knowledge of relevant securities rules and regulations, particularly the Investment Advisers Act.
  • Familiarity with private equity "secondary" transactions is a plus.
