Job Overview:
A prominent national law firm is seeking a Counsel to join its Pensions, Benefits & Investments practice group. This opportunity is ideal for an experienced attorney with a strong background in private funds and public market investment transactions. The successful candidate will work with a broad range of asset classes, representing both fund managers and institutional investors. This is a non-partner track role that offers high-impact legal work and flexibility in work location across U.S. offices.

Location:

  • Washington, DC

Duties:

  • Advise clients on private fund investments across a wide range of asset classes

  • Counsel on public market transactions and investment structuring

  • Draft and negotiate fund agreements, side letters, and related investment documentation

  • Provide legal guidance on fiduciary, governance, and compliance issues

  • Manage multiple complex transactions simultaneously

  • Take ownership of significant legal projects from inception through completion

  • Collaborate with colleagues across practice groups and locations to deliver integrated client solutions

Requirements:

  • Minimum of 8 years of experience in pensions, benefits, private funds, or investment law

  • Demonstrated expertise in private funds and/or public market investments

  • Experience representing both fund managers and institutional investors preferred

  • Ability to manage high-value client matters with minimal oversight

  • Strong professional judgment and client service skills

Education:

  • Juris Doctor (J.D.) from an accredited law school

  • Academic excellence strongly preferred

Certifications:

  • Active bar admission in the jurisdiction where the candidate intends to practice

Skills:

  • Deep understanding of private fund structures, investment documentation, and compliance issues

  • Excellent drafting, analytical, and negotiation skills

  • Strong communication and interpersonal skills

  • Ability to prioritize and manage multiple matters concurrently

  • Collaborative, business-minded approach to client service
