Class Action Suit against Constellation Energy Group, Inc. for infringement of sections 14(a) and 20(a) of the Securities Exchange Act of 1934 was announced by Robbins Umeda LLP. A press release on April 28, 2011 announced that Constellation Energy shareholders would be given 0.930 shares of Exelon for each share of Constellation Energy they own. The complaint asserts that the defendants filed a significantly misleading Form S-4 Registration Statement with the US Securities and Exchange Commission. It also alleges that certain of the defendants violated and supported the other defendants' violation of their fiduciary duties of loyalty.
