A law firm in Washington, DC is seeking a Securities and Capital Markets Associate Attorney with strong transactional skills and experience in public company equity and debt capital markets, M&A transactions, and SEC compliance and reporting. The Securities and Capital Markets Associate Attorney will play a vital role in handling a variety of transactional matters, including public offerings, M&A transactions, and SEC compliance. This role requires excellent communication skills, the ability to work both independently and as part of a team, and strong academic credentials.

 

Duties:

  • Work on public company equity and debt capital markets transactions
  • Handle M&A transactions involving public companies
  • Assist with SEC compliance and reporting obligations
  • Conduct legal research and analysis on securities laws and regulations
  • Draft and review transactional documents and agreements
  • Collaborate with clients and internal teams to achieve successful outcomes

 

Requirements:

  • 3-5 years of experience in corporate, securities, capital markets, and M&A, preferably at an AM Law 100 or 200 law firm
  • JD degree and strong academic credentials
  • Admission in (and in good standing with) the applicable jurisdiction
  • Hands-on experience in public offerings and SEC compliance
  • Strong oral and written communication skills
  • Ability to work effectively in a team and independently

 

Education:

JD degree from an accredited law school

 

Certifications:

Admission in (and in good standing with) the applicable jurisdiction

 

Skills:

  • Excellent transactional skills
  • Proficiency in drafting and reviewing legal documents
  • Strong understanding of securities laws and regulations
  • Ability to manage multiple projects simultaneously
  • Client-focused approach to work
