Job Overview: A law firm is seeking a Fund Formation Associate Attorney to be involved in all aspects of the formation, structuring, compliance, and ongoing management of alternative investment funds across various strategies. The role entails working with related capital-raising transactions and managing the equity investment process for one-off investment transactions.

Duties:

  • Participate in all stages of fund formation, structuring, and compliance processes.
  • Draft and review limited partnership agreements and limited liability company agreements for private investment funds.
  • Review fund documents and identify issues on behalf of institutional investors.
  • Prepare offering documents, including Private Placement Memorandums (PPMs), ensuring compliance with Regulation D and other securities laws.
  • Advise on Advisers’ Act and related exemption, registration, and compliance issues applicable to fund managers.
  • Interact with legal and business stakeholders from inception through closing, providing advice and guidance.
  • Draft and negotiate substantive transaction documents and commercial agreements.

Requirements:

  • 2-6 years of experience in a large law firm representing private fund sponsors and institutional investors.
  • Strong understanding of market fund terms and common issues negotiated in fund offering processes.
  • Experience with programmatic joint ventures and equity investment processes.
  • Solid academic record and excellent writing and oral communication skills.
  • Ability to work independently and collaboratively with clients and colleagues.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admission to the Washington, DC Bar (or eligibility for admission).

Skills:

  • Proficiency in drafting legal documents for fund formation and compliance.
  • Strong interpersonal skills for effective communication with legal and business professionals.
  • Ability to analyze complex legal issues and provide strategic advice.
  • Attention to detail and ability to work efficiently under pressure.
