A law firm in Washington, DC is seeking a Mid-level to Senior Corporate Fund Formation Lawyer with 5-7 years of comprehensive experience in the formation and administration of private investment funds. The ideal candidate should possess a background in corporate law practice acquired within a reputable law firm. Prior employment history within the Securities and Exchange Commission (SEC) is advantageous. Proficiency in navigating the Investment Advisers Act of 1940 and other pertinent federal securities statutes is preferred. The candidate must exhibit adeptness in providing counsel to emerging and established fund managers concerning structuring, market practices, regulatory compliance, and all other aspects of private investment fund formation. A Juris Doctor (J.D.) degree from an accredited law institution is required. The ideal candidate must demonstrate exceptional academic achievements coupled with proficiency in organizational prowess, meticulous drafting skills, effective communication capabilities, and discerning analytical acumen. Active membership in the relevant State Bar association is essential.

 

Duties:

  • Provide expert counsel to emerging and established fund managers on structuring, market practices, regulatory compliance, and all aspects of private investment fund formation.
  • Navigate the Investment Advisers Act of 1940 and other federal securities statutes.
  • Conduct thorough legal research and analysis.
  • Draft and review fund formation documents, including limited partnership agreements, subscription agreements, and private placement memoranda.
  • Collaborate with clients and internal teams to achieve strategic objectives.
  • Stay updated on industry trends, regulations, and best practices in private investment fund formation.

 

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law institution.
  • Active membership in the relevant State Bar association.
  • 5-7 years of comprehensive experience in the formation and administration of private investment funds.
  • Background in corporate law practice acquired within a reputable law firm.
  • Prior employment history within the Securities and Exchange Commission (SEC) is advantageous.
  • Proficiency in navigating federal securities statutes, particularly the Investment Advisers Act of 1940.
