Job Overview:
A distinguished law firm is seeking a Commercial Mortgage-Backed Securities (CMBS) Associate to join its Global Finance practice in Philadelphia. This role involves working on complex CMBS and commercial real estate (CRE) securitization transactions, representing issuers, underwriters, servicers, and investors. The ideal candidate will have experience in structuring and executing securitization deals and will play a key role in high-profile transactions within a highly ranked legal practice.

Location:

  • Philadelphia, PA

Duties:

  • Draft and negotiate bid letters and confidentiality agreements.
  • Prepare securitization disclosure and operative documents, including pooling and servicing agreements, mortgage loan purchase agreements, and investor certifications.
  • Advise clients on commercial real estate repurchase facilities and warehouse lending transactions.
  • Lead key aspects of transactions from due diligence to closing.
  • Collaborate with financial institutions, legal professionals, and clients to facilitate structured finance deals.

Requirements:

  • 3-6 years of securitization experience.
  • Extensive background in CMBS and CRE securitization.
  • Strong experience with commercial real estate repurchase facilities and warehouse lending.
  • Ability to manage complex transactions in a fast-paced legal environment.
  • Prior experience at a large law firm is strongly preferred.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Licensed to practice law in at least one U.S. jurisdiction.

Skills:

  • Strong contract drafting and negotiation skills.
  • Exceptional analytical and problem-solving abilities.
  • Ability to manage multiple high-value transactions simultaneously.
  • Excellent communication and client management skills.
