Job Overview: A law firm is seeking an associate with 3+ years of substantial experience in securitization and structured finance, or candidates with transactional experience and a strong desire to work in the Collateralized Loan Obligations (CLO) space. The role offers an opportunity to join an expanding and high-performing Global Finance group, serving a diverse global client base that includes major asset managers, equity investors, and prominent CLO underwriters.

Location:

  • Philadelphia, PA

Duties:

  • Provide legal counsel on securitization and structured finance transactions

  • Advise clients on Collateralized Loan Obligations (CLOs)

  • Draft and negotiate transaction documents

  • Collaborate with global financial institutions, asset managers, and investors

  • Conduct legal research and ensure compliance with regulatory requirements

  • Support clients in the execution of financial transactions

Requirements:

  • Minimum of 3 years of relevant experience in securitization, structured finance, or related areas

  • Strong understanding of private credit, CLOs, fund finance, NAV-based facilities, or subscription line credit facilities preferred

  • Demonstrated ability to manage complex financial transactions

Education:

  • Juris Doctor (JD) from an accredited law school

  • Excellent academic credentials

Certifications:

  • Admission to the state bar in good standing (Pennsylvania or ability to obtain admission)

Skills:

  • Strong analytical and problem-solving abilities

  • Excellent drafting, negotiation, and communication skills

  • Ability to work effectively in a collaborative and fast-paced environment

  • Detail-oriented with a strong commitment to client service
