A law firm seeks an experienced Associate Attorney to join its Global Finance team in Philadelphia, PA. The firm’s practice focuses on representing lenders and borrowers in complex mortgage loan warehouse transactions, including repurchase facilities and loan-on-loan structures. The ideal candidate will have prior experience in warehouse lending and repurchase facilities, with a strong understanding of transaction document preparation and negotiation. This role provides the opportunity to work on high-profile commercial real estate transactions and contribute to a top-ranked practice.

Duties:

  • Represent both lenders and borrowers in mortgage loan warehouse transactions, including repurchase facility and loan-on-loan structures.
  • Draft, review, and negotiate term sheets and other transaction documents for financing facilities.
  • Work closely with deal teams to manage key aspects of transactions, from term sheet to closing.
  • Provide legal counsel and strategic advice to clients involved in complex financing transactions.
  • Collaborate with senior attorneys and clients to ensure successful execution of deals.
  • Conduct legal research on industry regulations and market trends in mortgage lending.
  • Ensure compliance with applicable laws and regulations governing mortgage loan transactions.

Requirements:

  • 3-8 years of experience in mortgage loan warehouse and repurchase facility transactions.
  • Hands-on experience with the preparation and negotiation of financing transaction documents.
  • Prior experience as a key member of a deal team, managing aspects of transactions from term sheet to closing.
  • Commercial or residential mortgage loan warehouse experience is preferred, but experience in ABS warehouse transactions will be considered.
  • Large law firm experience is highly preferred.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active bar membership in the state of Pennsylvania (or the ability to obtain).

Skills:

  • Strong understanding of mortgage loan warehouse facilities and repurchase transactions
  • Expertise in drafting and negotiating transaction documents
  • Ability to manage complex transactions and client relationships
  • Knowledge of commercial real estate finance and ABS warehouse structures
  • Strong legal research, writing, and analytical skills
  • Effective communication and teamwork skills in a fast-paced environment
