Corporate Investment Funds Associate Attorney

Job Overview: A law firm based in Washington, DC, is seeking a Corporate Investment Funds Associate Attorney to join their team. The ideal candidate will have at least 3 years of experience in private equity fund formation and related fund operational matters.

Duties:

• Provide legal counsel and support to clients in private equity fund formation processes.
• Draft and review fund formation documents, including limited partnership agreements, subscription agreements, and offering memoranda.
• Advise clients on regulatory compliance and securities laws affecting investment funds.
• Conduct due diligence reviews and analysis for fund investments and transactions.
• Assist in negotiating and structuring fund agreements and transactions.
• Collaborate with other attorneys and support staff to ensure efficient and effective client service.

Requirements:

• Juris Doctor (J.D.) degree from an accredited law school.
• Admission to the Bar in Washington, DC, or eligibility for admission through waiver or reciprocity.
• Minimum of 3 years of experience practicing corporate law, focusing on private equity fund formation.
• Strong understanding of investment fund structures, regulations, and industry best practices.
• Excellent analytical, research, and communication skills.
• Ability to work effectively in a fast-paced, collaborative environment.

Education:
