Mid-level Life Science Corporate (Lifecycle) Associate Attorney

A law firm in San Francisco is currently seeking a Mid-level Life Science Corporate (Lifecycle) Associate Attorney with 2-4 years of experience in a broad range of corporate and transactional matters. The ideal candidate will work with venture-backed private and public companies, handling transactions such as equity financing, IPOs, M&A, and corporate governance. The candidate must have a keen interest in life sciences work and possess general experience both working in teams and independently managing substantial components of transactions. Outstanding academic credentials, comparable law firm experience, and excellent written and verbal communication skills are essential. Experience working with life sciences companies is preferred.

Duties:

• Work with venture-backed private and public companies in various transactions.
• Handle equity financing, IPOs, M&A, and corporate governance matters.
• Demonstrate an interest in life sciences work.
• Work collaboratively in teams and independently manage significant components of transactions.
• Provide legal counsel on a broad range of corporate and transactional matters.
• Conduct due diligence and research related to life sciences companies.
• Draft, review, and negotiate legal documents, including agreements and securities offerings.
• Assist with SEC reporting and compliance.

Requirements:

• Juris Doctor (JD) degree from an accredited law school.
• 2-4 years of experience in a broad range of corporate and transactional matters.
• Experience in seed and venture capital transactions, corporate governance, mergers and acquisitions, private and public offerings of securities, and SEC reporting.
• Outstanding academic credentials.
• Comparable law firm experience.
• Admission to the State Bar in California.
