A law firm in Greensboro, NC, is actively seeking a Mid- to Senior-level Corporate and Securities Associate Attorney. The firm is looking for a highly qualified professional with outstanding academic credentials and a minimum of 3 years of corporate and securities experience in a large regional or national law firm. The successful candidate will bring expertise in various facets of corporate and securities law, including 1933 Act equity and debt securities offerings, 1934 Act matters, and advising issuers on public company corporate governance. Candidates with a deep understanding of national securities exchange regulations and key principles related to executive and director compensation are preferred. The role requires enthusiasm for general corporate counseling, covering routine public company activities to significant transactions.

Job Details:

  • Experience: 3+ years of corporate and securities experience in a large regional or national law firm.
  • Education: Outstanding academic credentials.
  • License: Must be licensed to practice law in the jurisdiction in which located or have the ability to become licensed as soon as possible.

Duties:

  • Handle 1933 Act equity and debt securities offerings.
  • Manage 1934 Act matters, including proxy statements, periodic reporting on Forms 8-K, 10-K, and 10-Q, and Section 16 reporting.
  • Advise issuers on public company corporate governance matters.
  • Demonstrate a strong understanding of national securities exchange regulations.
  • Familiarity with key principles of executive and director compensation.
  • Provide general corporate counseling, covering ordinary course public company activities to significant transactions.

Requirements:

  • Minimum of 3 years of corporate and securities experience.
  • Outstanding academic credentials.
  • Licensed to practice law in the jurisdiction in which located or ability to become licensed.
