A law firm in Washington D.C. is seeking a Transactional Special Counsel with a minimum of 6 years of experience in handling corporate legal matters. The ideal candidate will have expertise in mergers & acquisitions, complex corporate structuring, finance and accounting, corporate governance matters, and other business transactions. Additionally, the candidate should possess the ability to analyze corporate transaction documentation and due diligence information to identify and evaluate information relevant to potential breaches of representations and warranties. Specific knowledge of transactional legal exposures, including representation and warranty breaches, tax issues, price adjustment mechanisms, litigation, and computation and measure of damages, is a plus. The role offers a non-partnership track position with a 1,800 billable hour requirement and requires excellent academic credentials and references.

Duties:

  • Provide legal counsel in a wide range of corporate and transactional matters.
  • Handle mergers & acquisitions, corporate structuring, finance, corporate governance, and other business transactions.
  • Analyze corporate transaction documentation and due diligence information.
  • Identify and evaluate information relevant to potential breaches of representations and warranties.
  • Assist in resolving transactional legal exposures, including representation and warranty breaches, tax issues, price adjustment mechanisms, litigation, and damages.

Requirements:

  • Minimum of 6 years of experience handling corporate legal matters.
  • Specific expertise in mergers & acquisitions, corporate structuring, finance, corporate governance, and business transactions.
  • Ability to analyze corporate transaction documentation and due diligence information.
  • Knowledge of transactional legal exposures is a plus.
  • A minimum of 2 years of law firm experience is preferred.
  • Excellent academic credentials and references.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active bar admission in the relevant jurisdiction.

Skills:

  • Strong analytical and problem-solving skills.
  • Excellent written and verbal communication skills.
  • Proficiency in corporate legal matters and transactional documentation.
  • Attention to detail and accuracy in evaluating legal exposures.

Billable Hours Requirement:
