Job Overview

A law firm seeks a Mid-Level Associate with 4-6 years of experience in executive compensation and employee benefits to join their practice in New York or Palo Alto. The ideal candidate will have a strong background in M&A, private equity, and restructuring transactions, with a focus on executive compensation, employee benefits, and ERISA.

Duties

  • Conduct diligence reviews and negotiate transaction agreements.
  • Advise on IRC § 280G and executive compensation/equity plans.
  • Work with SEC compensation disclosure rules for U.S. public companies.
  • Engage in transactional work with tax-qualified retirement and welfare plans.
  • Address general employment matters.

Requirements

  • 4-6 years of relevant experience in a law firm setting.
  • Admitted to practice and in good standing in the applicable jurisdiction.
  • Outstanding academic credentials.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Bar admission in New York or California.
