The ideal candidate will have a strong background in corporate transactional work, with a specific focus on mergers and acquisitions. Duties:

  • Research and analyze legal issues related to mergers and acquisitions.
  • Draft, review, and negotiate transaction documents, including contracts, agreements, and due diligence materials.
  • Provide legal counsel and strategic guidance to clients throughout the M&A process.
  • Collaborate with partners, associates, and support staff to ensure seamless deal execution.
  • Conduct comprehensive due diligence, including reviewing financial statements, contracts, and regulatory compliance.
  • Assist in the preparation of disclosure schedules, SEC filings, and other required documents.
  • Manage and coordinate deal closings, including attending closing meetings and ensuring all necessary documents are executed.

Requirements:

  • 5-9 years of legal experience, with a focus on corporate transactional work, particularly in mergers and acquisitions.
  • Current license to practice law in California or eligibility to become licensed.
  • Strong drafting and negotiating skills, with a proven track record of successfully managing complex transactions.
  • Exceptional legal research and analysis capabilities.
  • Excellent written and verbal communication skills.
  • Strong organizational and multitasking abilities.
