A law firm in Philadelphia, PA, is seeking an experienced and skilled Corporate Transactional Attorney with a strong background in handling sophisticated corporate transactions. The selected attorney will play a key role in managing complex corporate matters, including reorganizations, restructures, financing, acquisitions, and corporate governance.

Duties:

  • Lead and manage complex corporate transactions, ensuring legal compliance and the best interests of clients.
  • Review and draft a wide range of corporate documents, including but not limited to LLCs, buy-sell agreements, operating agreements, entity formations, partnership agreements, promissory notes, and employee stock plans.
  • Provide expert legal counsel on corporate governance issues, compliance, and regulatory matters.
  • Collaborate with clients, other attorneys, and legal staff to develop and execute legal strategies.
  • Conduct due diligence and risk assessments for corporate transactions.
  • Stay updated on changes in corporate law and regulations to ensure clients' interests are protected.

Requirements:

  • A minimum of 10 years of experience as a Corporate Transactional Attorney.
  • Demonstrated expertise in handling complex corporate transactions.
  • Strong negotiation, analytical, and problem-solving skills.
  • Exceptional drafting and document review abilities.
  • Thorough understanding of corporate governance and compliance.
  • License to practice law in Pennsylvania.

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Active license to practice law in the state of Pennsylvania.

Skills:

  • Profound knowledge of corporate law and transactional matters.
  • Legal research, analysis, and due diligence.
  • Drafting and reviewing various corporate documents.
  • Strong negotiation and contract drafting skills.
  • Exceptional oral and written communication.
  • A detail-oriented and organized approach to legal work.
  • Ability to work independently and as part of a legal team.
