Duties and Responsibilities:

  • Conduct due diligence on acquisition targets
  • Draft and review transaction agreements
  • Provide legal advice on mergers and acquisitions and general corporate matters
  • Interact effectively with client teams and other stakeholders
  • Ensure compliance with Delaware and New York corporate and federal securities laws
  • Collaborate with other attorneys and legal staff to deliver high-quality legal services
  • Stay updated on legal developments and changes in relevant laws

Requirements:

  • 3-5 years of experience in mergers and acquisitions and general corporate matters
  • Familiarity with Delaware and New York corporate and federal securities laws
  • Excellent academic credentials
  • Strong work ethic and interpersonal skills
  • Large regional, national, or international law firm experience preferred
  • Admitted to the Pennsylvania Bar

Education and Certifications:

  • Juris Doctor (JD) degree from an ABA-accredited law school
  • Member of the Bar in the United States
