A law firm is seeking a Senior Level Mergers and Acquisitions Associate Attorney with 5-9 years of experience to join our team in Washington, DC. The ideal candidate should possess a minimum of five years of experience in corporate transactional work, specifically in mergers and acquisitions. This position requires strong drafting and negotiating skills, excellent teamwork abilities, and the capacity to independently manage various components of deals. Additionally, candidates must be currently licensed or eligible to become licensed to practice law in the District of Columbia.

Duties:

  • Lead or assist in the negotiation and drafting of merger and acquisition agreements, including asset purchase agreements, stock purchase agreements, and related transaction documents.
  • Provide legal counsel and strategic advice to clients on mergers, acquisitions, and other corporate transactions.
  • Conduct legal research and analysis to ensure compliance with federal, state, and local regulations.
  • Participate in due diligence processes and prepare comprehensive due diligence reports.
  • Review and analyze financial documents, contracts, and other relevant materials.
  • Collaborate with senior attorneys, partners, and clients to develop and execute legal strategies for successful deal completion.
  • Manage and supervise junior associates and paralegals as needed for specific transactions.

Requirements:

  • 5-9 years of relevant legal experience, with a minimum of five years in corporate transactional work, especially mergers and acquisitions.
  • Juris Doctor (JD) degree from an accredited law school.
  • Licensed to practice law in the District of Columbia or eligible to obtain DC licensure.
  • Strong drafting and negotiating skills.
  • Excellent teamwork skills and the ability to collaborate effectively with colleagues and clients.
  • Proficiency in legal research and analysis.
  • Exceptional written and verbal communication skills.
  • Proven ability to manage and lead complex legal transactions independently.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Licensed to practice law in the District of Columbia or eligible to become licensed.
