Securities Business Transactional Attorney

Duties:

• Assist clients with raising capital, including preparing private placement memorandums and subscription agreements
• Make recommendations on company structures and advise on various investment vehicles such as SAFE notes, convertible debt instruments, options, and warrants
• Analyze client’s potential investment opportunities and review related documents
• Form and maintain business entities
• Collaborate with the mergers and acquisitions team
• Work closely with tax, trust, and estate attorneys on client matters

Requirements:

• J.D. from an accredited law school
• Member in good standing of the California Bar
• 7 years of experience working as a business transactional and securities attorney
• Strong drafting skills
• Highly team-oriented
