Mid-level Corporate Associate Attorney

A Menlo Park, CA law firm seeks a Mid-level Corporate Associate Attorney with 4-5 years of experience. The ideal candidate should possess a substantial corporate transactional background, including experience in venture capital, M&A, and/or private equity transactions. Strong academic credentials and exceptional written, interpersonal, and communication skills are required, along with a background in securities, M&A, and venture capital transactions.

Duties:

• Handle various corporate transactions, including venture capital, M&A, and private equity deals.
• Draft and review sophisticated corporate documentation.
• Manage transactions and assist ongoing clients with general corporate matters.
• Provide legal advice and guidance on corporate transactions and compliance matters.
• Conduct due diligence reviews and assist with transaction closings.
• Collaborate with partners, clients, and opposing counsel as needed.

Requirements:

• 4-5 years of experience in corporate law.
• Substantial corporate transactional background, including venture capital, M&A, and/or private equity transactions.
• Strong academic credentials.
• Exceptional written, interpersonal, and communication skills.
• Background in securities, M&A, and venture capital transactions.

Education:

• Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

• Admission to the California State Bar or eligibility for reciprocity.

Skills:

• Proficiency in drafting and reviewing corporate documentation.
