A law firm seeks a mid-level associate with 2–6 years of investment-funds experience to join its Atlanta, GA, office as a member of the Real Estate Investment Trusts team, advising on both public and private fund vehicles.

Duties

  • Structure and counsel on creation and operations of publicly traded and non-listed REITs and related real estate funds

  • Draft and negotiate offering circulars, governance charters, underwriting agreements, and trust documents under the 1933 and 1934 Acts

  • Oversee SEC registration filings, periodic reporting, and compliance disclosures

  • Coordinate with tax, corporate, and regulatory colleagues to execute complex fund transactions

  • Engage directly with sponsors, trustees, and institutional investors to support capital-raising and strategic initiatives

Requirements

  • 2–6 years of experience advising on REITs or comparable real-estate investment structures

  • Hands-on knowledge of federal securities law, including 1933 Act registrations and 1934 Act reporting

  • Track record of managing multi-jurisdictional filings and high-stakes fund-formation projects

  • Strong interpersonal skills and an entrepreneurial mindset for client engagement

  • Comfort working in a collaborative, growth-oriented environment

Education

  • Juris Doctor from an ABA-accredited law school

Certifications

  • Active license to practice law in Georgia

Skills

  • Expert drafting of securities and trust documentation

  • In-depth understanding of SEC compliance and regulatory frameworks

  • Effective verbal and written communication with sophisticated stakeholders

  • Strategic project management and multitasking abilities
