Funds and Securities Attorney

A law firm is currently seeking a qualified Funds and Securities Attorney for their Minneapolis office. The ideal candidate will have a strong background in working with public companies, startups, founders, and venture capital firms, specializing in company formation, corporate governance, and securities law. The individual should also possess experience in angel investments and venture capital financings. The Funds and Securities Attorney will play a crucial role in advising clients on matters related to company formation, corporate governance, securities law, angel investments, and venture capital financings. The position requires someone with exceptional analytical and writing abilities, strong academic credentials, and outstanding interpersonal skills.

Duties:

• Provide legal counsel on company formation, corporate governance, and securities law matters.
• Advise clients on angel investments and venture capital financings.
• Conduct legal research and analysis to ensure compliance with relevant regulations.
• Draft and review legal documents, contracts, and agreements.
• Represent clients in negotiations and transactions.

Requirements:

• A minimum of 3 years of experience in securities and private investment fund formation.
• Strong interest or experience in working with public companies, startups, founders, and venture capital firms.
• Exceptional analytical and writing abilities.
• Outstanding interpersonal skills for effective client communication.
• Juris Doctor (JD) from an accredited law school.

Certifications:

Admission to the State Bar.
