A law firm in Minneapolis, Minnesota, is actively seeking a Mid-Level Corporate Associate Attorney with 4+ years of experience in mergers and acquisitions, commercial contract drafting, and related business matters. The ideal candidate should possess technology transaction experience (preferred) and must be admitted, or eligible for admission, to the Minnesota Bar. The role requires a strong academic background, superior drafting and research skills, experience negotiating important transaction documents, and the ability to draft M&A transaction documents. The candidate should be diligent, detail-oriented, proactive, supportive, team-oriented, and personable.

 

Duties:

  • Handle a variety of corporate transactions, with a primary focus on mergers and acquisitions.
  • Draft and negotiate important transaction documents, including commercial contracts and M&A transaction documents.
  • Conduct legal research to support transactional work.
  • Provide legal advice and guidance to clients on corporate and business matters.
  • Collaborate with other attorneys and legal professionals on complex transactions.
  • Ensure compliance with relevant laws and regulations in the corporate and business domain.
  • Uphold high levels of professionalism and ethical standards in all interactions.

 

Requirements:

  • Juris Doctor (JD) degree.
  • Admission to, or eligibility for admission to, the Minnesota Bar.
  • 4+ years of experience in corporate law, specifically in mergers and acquisitions, commercial contract drafting, and related business matters.
  • Strong academic credentials.
  • Technology transaction experience (preferred).
  • Superior drafting and research skills.
  • Detail-oriented with strong organizational skills.
  • Proactive and supportive team player.
  • Personable with excellent communication skills.

  • Substantial experience in mergers and acquisitions, commercial contract drafting, and related business matters.
