A law firm is seeking a Mid- to Senior-level Associate Attorney for their New York City office. The ideal candidate will have significant experience in corporate transactions, with a focus on debt and equity capital markets transactions, as well as expertise in disclosure, corporate governance, and SEC compliance matters. Below are the key responsibilities, requirements, qualifications, and skills associated with this position:

 

Job Overview:

The Mid- to Senior-level Associate Attorney will collaborate with partners and counsel to provide legal counsel and support on a broad range of transactional matters for diverse clients, including lenders, financiers, and private equity funds. The role will involve handling corporate transactions, securities offerings, disclosure, corporate governance, and SEC compliance matters.

 

Duties:

  • Advising clients on corporate transactions, including debt and equity capital markets transactions, mergers and acquisitions, and other financing arrangements.
  • Conducting legal research and analysis to support transactional matters and compliance efforts.
  • Drafting and reviewing legal documents, including disclosure documents, beneficial ownership reports (e.g., Schedules 13D and 13G), periodic reports (e.g., Forms 10-K or 20-F, 10-Q or 6-K), and annual proxy materials.
  • Collaborating with partners, counsel, and clients to develop and execute effective legal strategies.
  • Providing guidance on corporate governance matters and compliance with SEC regulations and stock exchange requirements.
  • Communicating with colleagues and clients effectively to ensure the successful execution of legal projects.

 

Requirements:

  • 3+ years of experience representing public and private companies, including foreign private issuers, in corporate transactions.
  • Experience in debt and equity capital markets transactions, including SEC-registered and Rule 144A offerings.
  • Strong understanding of disclosure, corporate governance, and SEC compliance matters.
  • Transferable skills, including effective interpersonal communication and collaboration abilities.
  • Big law firm experience and a track record of success in transactional work.
  • Strong academic background and J.D. degree from an accredited law school.

 

Education & Certifications:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the Bar in the applicable jurisdiction.

 

Skills:

  • Proficiency in drafting and reviewing legal documents.
  • Excellent research and analytical skills.
  • Strong communication and interpersonal abilities.
  • Ability to work effectively in a team environment.
