Job Overview

A highly respected law firm is seeking a Principal Attorney with at least seven years of experience in securities law and capital market transactions to join its expanding Business Practice Group. This role focuses on counseling public and private companies on complex securities, corporate governance, and capital markets matters across diverse industry sectors. A portable book of business is required.

Location

  • Portland, OR

Duties

  • Advise public and private companies on securities regulation, public offerings, and capital markets transactions

  • Counsel clients on corporate governance, SEC compliance, and public company reporting obligations

  • Draft and negotiate offering documents, regulatory filings, and transactional agreements

  • Lead and manage securities law compliance for M&A transactions and corporate restructuring

  • Collaborate with attorneys across multiple practice areas on multidisciplinary projects

  • Build and maintain strong client relationships

  • Support business development initiatives and participate in firm marketing activities

Requirements

  • Minimum of 7 years of securities law and capital markets experience

  • Experience with public security offerings, SEC compliance, corporate governance, and debt and equity market transactions

  • Ability to independently manage matters and collaborate effectively with a team

  • Proven ability to generate client work and maintain strong client relationships

  • Excellent time management and organizational skills

Education

  • Juris Doctor (J.D.) from an ABA-accredited law school

Certifications

  • Active license to practice law and in good standing with at least one U.S. jurisdiction

  • Admission to practice in Washington, Oregon, New York, or Washington, D.C. preferred
