Job Overview:
A well-regarded law firm is currently seeking a Midlevel Corporate Associate with experience in Emerging Companies (EC) and Venture Capital (VC). The ideal candidate will have a strong background in advising clients in a wide range of corporate and transactional matters, from formation to exit. This is an exciting opportunity to work on cutting-edge venture capital transactions, mergers and acquisitions, and corporate governance for both early and late-stage private companies.

Location:

  • Portland, OR

Duties:

  • Advise emerging companies and venture capital investors on corporate and transactional matters, including formation, financing, and exit strategies
  • Draft and negotiate venture capital financing documents, such as term sheets, convertible notes, and NVCA-related agreements
  • Provide legal guidance on corporate governance issues, including shareholder and board matters
  • Assist clients with mergers and acquisitions, joint ventures, and other strategic transactions
  • Conduct due diligence and participate in transactional closings
  • Serve as outside corporate counsel to early-stage and late-stage private companies
  • Manage relationships with both internal and external clients and counsel

Requirements:

  • Juris Doctor (JD) from an accredited law school
  • Admission to the California Bar
  • 4-6 years of experience in a reputable law firm or in-house legal department
  • Significant experience in corporate law, with a focus on emerging companies and venture capital transactions
  • Proven ability in drafting and negotiating venture capital financing documents
  • Strong entrepreneurial mindset with the ability to work collaboratively and independently
  • Excellent academic background and credentials

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • California Bar Admission

Skills:

  • Expertise in venture capital financing and corporate governance
  • Excellent drafting and negotiation skills
  • Strong research, writing, and analytical abilities
  • Ability to manage multiple priorities and work efficiently in a fast-paced environment
