Job Overview:
A nationally recognized law firm with a strong East Coast presence is seeking a mid-level Corporate Associate to join its Private Equity & Finance practice group. This role is ideal for a candidate with 3–5 years of experience in investment management, private fund formation, and general corporate transactional matters. The position offers the opportunity to engage with institutional investors, family offices, and fund managers on complex and high-value matters across multiple jurisdictions. A hybrid work structure is available, and the firm provides a structured environment for professional growth and advancement.

Location:

  • Boston, MA

Duties:

  • Provide legal counsel on the formation and structuring of open- and closed-end private funds

  • Advise clients on investment adviser regulatory compliance and obligations

  • Represent institutional investors and family offices in private equity and venture capital transactions

  • Draft and negotiate a wide range of investment and fund-related documentation, including:

    • Private placement memoranda (PPMs)

    • Limited partnership agreements

    • LLC operating agreements

    • Subscription agreements

    • Side letters

    • Investment management and sub-advisory agreements

  • Review and provide legal support for fund marketing materials

  • Support transactional work involving mergers, acquisitions, joint ventures, and general corporate matters

Requirements:

  • 3–5 years of legal experience in investment management and private fund formation

  • Experience in corporate transactional matters, including joint ventures and M&A

  • Ability to handle complex legal documents and regulatory frameworks

  • Strong client service and communication skills

  • Capacity to work independently and collaboratively within a team environment

  • Bar admission in good standing in the relevant jurisdiction

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Active bar license in at least one U.S. jurisdiction

Skills:

  • Proficiency in preparing and reviewing sophisticated fund documentation

  • Strong legal drafting and negotiation skills

  • Familiarity with SEC and other regulatory frameworks relevant to fund management

  • Business-minded with the ability to tailor legal advice to client needs

  • Excellent written and verbal communication abilities

  • Ability to manage multiple assignments in a deadline-driven environment
