A law firm in New York City, NY, is actively seeking a skilled Mid- or Senior-level Capital Markets/Securities Associate Attorney. With a focus on the equity side of Capital Markets, the ideal candidate will bring over 5 years of experience, including expertise in securities law, registration statements, periodic reports filed with the SEC, and general corporate law. Additional experience in representing public and private clients in corporate transactions, as well as corporate governance matters, is highly desirable. Candidates with experience in mergers and acquisitions will be given preference.

Duties

• Work on the equity side of Capital Markets.
• Handle securities law matters, including registration statements and periodic reports filed with the SEC
• Provide legal counsel on general corporate law issues
• Represent public and private clients in various corporate transactions
• Advise on corporate governance matters
• Contribute to mergers and acquisitions processes (if applicable)

Requirements

• 5+ years of experience as a Capital Markets/Securities Associate Attorney
• Expertise in securities law, registration statements, and periodic reports filed with the SEC
• General corporate law experience
• Experience in corporate transactions and corporate governance
• Experience with mergers and acquisitions (a plus)

Education

• Juris Doctor (JD) degree from an accredited law school

• Bar admission in New York
