A law firm in Houston is seeking a Mid-Level Fund Formation/Joint Venture Associate Attorney with 4-6 years of substantive experience. The ideal candidate will possess expertise in drafting and negotiating complex limited partnership/limited liability company agreements, structuring joint venture investment transactions, and private fund formation work. Knowledge of SEC investment advisory regulations is required, and substantive private M&A experience is a plus.

 

Duties:

  • Draft and negotiate complex limited partnership/limited liability company agreements, including side letters.
  • Structure joint venture investment transactions.
  • Assist in private fund formation work for sponsors and/or investors.
  • Ensure compliance with SEC investment advisory regulations.

 

Requirements:

  • 4-6 years of substantive experience in relevant areas.
  • Substantive private M&A experience is a plus.

 

Education:

Juris Doctor (J.D.) degree from an accredited law school.

 

Certifications:

Admission to the Texas State Bar (or ability to waive in).

 

Skills:

  • Proficiency in drafting and negotiating legal agreements.
  • Strong understanding of limited partnership/limited liability company structures.
  • Knowledge of SEC investment advisory regulations.
  • Excellent communication and interpersonal skills.
  • Ability to work effectively in a team environment.
  • Attention to detail and ability to manage multiple tasks efficiently.
