Mid-Senior Level Finance Associate Attorney

Job Overview:
A prestigious law firm in Houston, TX, is seeking a skilled finance associate attorney with experience in representing lenders or borrowers in complex financial transactions. The role involves working on a range of sophisticated financing matters, including acquisitions, buyouts, restructurings, and corporate finance transactions.

Duties:

  • Represent lenders, including investment banks, commercial banks, business development companies, or other financial institutions, in various financing transactions.

  • Counsel borrowers, including private equity sponsors, on structuring and executing debt financing.

  • Handle legal aspects of acquisition financing, leveraged buyouts, and corporate restructuring.

  • Draft, review, and negotiate financing agreements and related legal documents.

  • Collaborate with legal teams and clients to ensure compliance with financial regulations and transaction requirements.

  • Provide strategic advice on special situations and complex financial arrangements.

  • Conduct due diligence and risk assessment for financing deals.

Requirements:

  • Strong background in finance law, with experience at a comparable law firm.

  • Expertise in representing lenders and/or borrowers in structured finance transactions.

  • Ability to manage multiple high-stakes transactions simultaneously.

  • Exceptional negotiation and drafting skills.

  • Strong analytical and problem-solving abilities.

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Licensed to practice law in at least one U.S. jurisdiction.
