A law firm in New York City, NY is seeking a Joint Ventures Associate Attorney with 3-6 years of experience in handling complex and sophisticated real estate joint ventures. The candidate will work on drafting and negotiating real estate limited liability company (LLC) and partnership agreements, providing expert legal counsel in the area of real estate joint ventures. The ideal candidate will have a strong academic record, excellent communication skills, and major law firm experience. A tax LL.M. or familiarity with partnership tax is a plus. The candidate must be admitted to the New York State Bar.

Key Responsibilities:

  • Draft, negotiate, and review real estate joint venture agreements, including LLC and partnership agreements.
  • Provide legal counsel on the structuring of joint ventures and real estate investments.
  • Advise clients on complex real estate partnerships, ensuring compliance with all legal and regulatory requirements.
  • Collaborate with clients and third parties to secure favorable terms in joint venture arrangements.
  • Conduct in-depth legal research on real estate and tax-related matters relevant to joint ventures.
  • Stay current on real estate, tax, and partnership law to ensure best practices are followed.
  • Manage multiple complex transactions while meeting deadlines and client expectations.
  • Maintain client relationships, offering continuous legal advice and support.

Requirements:

  • 3-6 years of experience working on sophisticated real estate joint ventures, including drafting and negotiating LLC and partnership agreements.
  • Prior major law firm experience is preferred.
  • Admission to the New York State Bar in good standing is required.
  • Exceptional writing, research, and negotiation skills.
  • Proven ability to handle complex legal matters in real estate joint ventures.
  • Excellent interpersonal and communication skills, with the ability to build and maintain strong client relationships.
  • Strong organizational and project management skills, with attention to detail and the ability to multitask in a fast-paced environment.

Education & Certifications:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the New York State Bar is required.
  • A tax LL.M. or familiarity with partnership tax is highly preferred.
