Job Overview

A leading international law firm is actively seeking a talented Investment Funds Associate to join its Chambers-ranked Secondaries team in New York. This associate will play a key role in high-profile, cutting-edge transactions involving continuation funds, LP-led secondaries, fund formations, and other secondary market structures. The position offers significant responsibility and the chance to work alongside seasoned partners on complex fund-related transactions in a fast-paced and collaborative environment.

Location

  • New York, NY

Duties

  • Provide legal counsel on a variety of secondary investment transactions, including:

    • GP-led continuation funds

    • LP portfolio sales

    • Secondary fund formations

    • Structured secondary solutions

  • Draft and negotiate fund documentation and related transactional agreements

  • Collaborate with clients and internal teams to manage transaction execution

  • Conduct legal research and support due diligence processes

  • Stay current with market trends and developments in the private equity and secondaries landscape

Requirements

  • Minimum of 3 years of experience practicing law in a related area

  • Prior work with private equity fund structures or secondaries strongly preferred

  • Experience managing complex transactional matters under tight deadlines

  • General corporate experience a plus

Education

  • Juris Doctor (J.D.) from an ABA-accredited law school

  • Strong academic credentials required

Certifications

  • Admission to the New York Bar (or eligibility to waive in)

Skills

  • Proficiency in private equity and fund transaction structuring

  • Excellent drafting, negotiation, and analytical skills

  • Ability to work both independently and collaboratively

  • Exceptional organizational and project management skills

  • Strong communication and interpersonal abilities
