Job Overview

A leading national law firm is seeking an associate attorney to join its Finance & Restructuring practice group, focusing on corporate trust transactions. This role involves advising financial institutions and corporate trust clients in a variety of transactional matters, including structured finance, public and private debt offerings, finance facilities, and document custody. The position offers a hybrid work arrangement and the opportunity to work on high-profile, complex transactions in a collaborative environment.

Location

  • Wilmington, DE

Duties

  • Represent financial institutions and corporate trust entities in a range of transactional matters

  • Provide counsel on:

    • Structured finance (RMBS, CMBS, ABS)

    • Corporate and municipal debt issuances

    • Finance facilities and document custody arrangements

  • Draft, review, and negotiate agreements, including:

    • Trust indentures

    • Loan and agency agreements

    • Account control and custodial agreements

    • Pooling and servicing agreements

    • Master service, disbursement, and NDA documents

  • Manage concurrent matters in a fast-paced, client-focused environment

  • Collaborate with legal teams and clients across multiple offices

Requirements

  • 2–4 years of relevant transactional legal experience

  • Background in corporate trust, finance, or structured finance matters preferred

  • Strong familiarity with financial instruments and contractual documentation

  • Excellent organizational and time-management skills

  • Demonstrated ability to handle multiple assignments efficiently and with accuracy

Education

  • Juris Doctor (J.D.) from an accredited U.S. law school

  • Strong academic performance preferred

Certifications

  • Admission to the bar in the relevant jurisdiction, or eligibility for prompt admission

  • Exceptional drafting, negotiation, and analytical skills

  • High attention to detail with the ability to manage complex transactions

  • Excellent written and verbal communication skills

  • Professional demeanor with strong client relationship management capabilities
