A law firm located in Redwood City, CA, is seeking a Senior Corporate Attorney with 7+ years of experience representing early-stage technology start-ups in connection with venture capital financings, M&A transactions, securities offerings, and general corporate matters. The ideal candidate should be an entrepreneurial self-starter with excellent oral and written communication skills, attention to detail, and the ability to balance legal and business issues. They should also possess the ability to manage multiple projects and be a current member of the State Bar of California in good standing. Portable business is preferred.

 

Duties:

  • Provide legal counsel and representation to early-stage technology start-ups on venture capital financings, M&A transactions, securities offerings, and general corporate matters.
  • Draft and negotiate transactional documents, including term sheets, investment agreements, merger agreements, stock purchase agreements, and corporate governance documents.
  • Conduct due diligence investigations and risk assessments in connection with transactions.
  • Advise clients on corporate governance, compliance, and regulatory matters.
  • Assist clients in structuring and implementing corporate transactions to achieve strategic objectives.
  • Collaborate with clients, colleagues, and external stakeholders to address legal and business issues effectively.
  • Manage multiple projects simultaneously while ensuring adherence to deadlines and client priorities.
  • Cultivate and maintain client relationships to develop and grow business opportunities for the firm.

 

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the State Bar of California and in good standing.
  • Minimum of 7+ years of experience practicing corporate law, with a focus on representing early-stage technology start-ups.
  • Strong understanding of venture capital financings, M&A transactions, securities offerings, and general corporate matters.
  • Excellent oral and written communication skills.
  • Entrepreneurial mindset with the ability to identify and pursue business opportunities.
  • Attention to detail and ability to balance legal and business considerations.
  • Proven ability to manage multiple projects and meet deadlines in a fast-paced environment.

 

Education:

Juris Doctor (J.D.) degree from an accredited law school.
