A law firm in Philadelphia is seeking a Senior Private Equity Debt Finance Associate Attorney with 5-8 years of experience. The ideal candidate will have a strong background in representing private equity sponsors, banks, and private credit lenders in various financial transactions, including leveraged buyouts, acquisition financings, and corporate growth initiatives.

 

Duties:

  • Represent private equity sponsors, banks, and private credit lenders in term and revolving loan facilities.
  • Draft and negotiate commitment papers, credit agreements, and collateral documents.
  • Provide legal counsel on leveraged buyouts, acquisition financings, and corporate growth transactions.
  • Conduct legal research and analysis to ensure compliance with relevant laws and regulations.
  • Collaborate with clients and internal teams to achieve successful outcomes in financial transactions.
  • Manage and oversee the documentation process for loan facilities.

 

Requirements:

  • 5-8 years of experience in private equity debt finance at a reputable law firm.
  • Outstanding academic credentials with a Juris Doctor (JD) from an accredited law school.
  • Relevant Bar admission or eligibility to obtain admission promptly.
  • Demonstrated experience in drafting and negotiating commitment papers, credit agreements, and collateral documents.
  • Strong understanding of leveraged buyouts, acquisition financings, and corporate growth transactions.
  • Excellent written and verbal communication skills.

 

Education:

Juris Doctor (JD) from an accredited law school.

 

Certifications:

Relevant Bar admission or eligibility to obtain admission promptly.
