A law firm seeks a mid-level Corporate Attorney with 4-8 years of experience to join its team in Pittsburgh, PA. The selected candidate will be responsible for drafting, reviewing, and negotiating a variety of corporate and transactional documents, including entity formation, governance documents, operating agreements, purchase agreements, compliance documentation, and M&A documents. This role requires the attorney to work closely with clients and participate in negotiations for various business transactions. Ideal candidates will demonstrate strong business development skills and a solid work ethic while thriving in a collaborative team environment.

Duties:

  • Draft and negotiate corporate and transactional documents, including but not limited to entity formation, operating agreements, purchase agreements, and compliance documents.
  • Represent clients in the negotiation of business transactions, mergers, and acquisitions.
  • Collaborate with clients to understand their needs and provide tailored legal advice.
  • Manage multiple transactions concurrently and ensure timely, accurate document preparation.
  • Engage in business development and client relationship management.
  • Work with internal teams to deliver high-quality legal solutions.
  • Provide mentorship and guidance to junior attorneys and support staff.
  • Stay updated on corporate law trends and industry best practices.

Requirements:

  • 4-8 years of experience in corporate law, including transactional and business matters.
  • Proven experience with corporate governance, entity formation, mergers, acquisitions, and compliance.
  • Strong client interaction skills and ability to represent clients in various business negotiations.
  • Detail-oriented with excellent organizational skills.
  • Strong interpersonal and communication abilities.
  • Ability to excel in a team-oriented environment.
  • Solid academic credentials and a demonstrated work ethic.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the state bar in good standing.
