Job Title: Corporate Associate Attorney

Job Overview:
A law firm located in Pittsburgh, PA, is seeking a skilled attorney with a solid foundation in corporate transactions to support its expanding business and tax advisory practice. This position offers exposure to a wide range of business operations, including mergers, acquisitions, reorganizations, and long-term succession strategies. The selected candidate will collaborate with experienced practitioners in a team-oriented environment while working directly with a diverse client base on complex transactional matters.

Duties:

  • Oversee and manage business structuring and restructuring engagements

  • Draft, review, and negotiate agreements for mergers, acquisitions, and other corporate transactions

  • Advise on entity formation, governance, and compliance-related concerns

  • Support clients with long-term business planning, including succession strategies

  • Conduct legal research and prepare memoranda on transactional and regulatory issues

  • Collaborate with tax professionals and other attorneys for integrated legal solutions

  • Participate in client meetings, negotiations, and closings

Requirements:

  • Minimum of 4 years’ experience practicing in a corporate transactional setting

  • Demonstrated capability in managing M&A matters independently or as part of a team

  • In-depth familiarity with corporate legal frameworks and regulatory principles

  • Strong interpersonal skills to interface directly with clients and stakeholders

  • The capacity to work under pressure and meet tight deadlines while maintaining accuracy

Education:

  • Juris Doctor (J.D.) degree from a U.S. law school accredited by the ABA

Certifications:

  • Active license to practice law in Pennsylvania

Skills:

  • Proficiency in contract drafting and legal analysis

  • Attention to detail with the ability to identify and mitigate business risks

  • Clear and persuasive writing and verbal communication
