Job Overview:
A law firm is seeking a highly skilled Corporate Associate with 5-7 years of corporate transactional experience, specializing in mergers and acquisitions (M&A) and private equity transactions. The ideal candidate will have a proven track record of managing complex transactions, negotiating key documents, and providing high-level client service. Duties:

  • Lead and support M&A and private equity transactions from start to finish.
  • Draft and negotiate transaction documents, including merger agreements, private equity agreements, and ancillary documents.
  • Manage client relationships, ensuring exceptional service and communication.
  • Supervise and mentor junior associates, providing guidance on legal and transactional matters.
  • Handle the day-to-day demands of clients with complex and sophisticated needs.
  • Collaborate with internal teams to deliver strategic advice on corporate transactions.
  • Conduct due diligence and manage risk analysis throughout the transaction process.
  • Stay current on industry trends and provide insight on how they may affect client transactions.

Requirements:

  • 5-7 years of corporate transactional experience, with a focus on M&A and private equity.
  • Strong drafting and negotiation skills.
  • Ability to manage and nurture client relationships.
  • Experience supervising and mentoring junior associates.
  • Excellent communication, analytical, and problem-solving abilities.
  • Proven ability to handle multiple, complex projects simultaneously.
  • Strong work ethic and attention to detail.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Licensed to practice law in New York.
