Job Overview:

Duties:

  • Assist in structuring and executing a wide range of public finance transactions, including tax-exempt and taxable municipal bonds

  • Support financings involving government entities, 501(c)(3) nonprofits, and other qualified borrowers

  • Conduct legal research and analysis related to securities regulations, tax laws, and municipal finance matters

  • Draft transactional documents such as indentures, loan agreements, offering memoranda, and closing certificates

  • Participate in due diligence, deal negotiation, and closings

  • Collaborate with senior attorneys in responding to regulatory inquiries, audits, and enforcement matters

  • Contribute to complex matters such as public-private partnerships, secondary market products, and distressed municipal workouts

Requirements:

  • 2-4 years of experience in public finance, securities, or a transactional legal practice

  • Demonstrated proficiency in drafting legal documents and reviewing due diligence materials

  • Admission to the bar in California or eligibility to waive in

  • Proven ability to manage competing deadlines, collaborate with diverse teams, and work in a fast-paced environment

Education:

  • Juris Doctor (J.D.) from an accredited U.S. law school

Certifications:

  • Active membership in good standing with a State Bar; California Bar membership preferred

Skills:

  • Strong written and verbal communication

  • Attention to detail with strong organizational capability

  • Familiarity with federal securities law and tax considerations related to municipal bonds (preferred but not mandatory)

  • Professional demeanor and commitment to client service excellence
