We are recruiting on behalf of a well-established law firm seeking a Corporate Transactional Attorney for its Philadelphia office. The ideal candidate will have significant experience in banking and commercial transactions, with the ability to handle complex contractual and regulatory matters for financial institutions and other corporate clients. The firm values candidates with a portable book of business, though it is not required.

Duties:

  • Handle large contracts, including drafting, reviewing, and negotiating terms.
  • Advise clients on banking, regulatory, and commercial transaction matters.
  • Assist with loan workouts and related financial restructuring.
  • Address general corporate legal issues for financial institutions and other clients.
  • Collaborate with internal legal teams and client stakeholders on transaction strategies.
  • Stay up-to-date with regulatory changes affecting financial transactions.

Requirements:

  • Minimum of 6 years of experience in corporate transactional law.
  • Experience handling banking and commercial transactions.
  • Strong understanding of corporate governance and regulatory compliance.
  • Excellent negotiation, drafting, and communication skills.
  • Ability to manage multiple, complex transactions efficiently.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Active member in good standing with the Pennsylvania State Bar (or eligibility for admission).

Certifications:

  • Admission to the Pennsylvania State Bar (or the ability to obtain admission).

Skills:

  • Expertise in banking, finance, and commercial transaction law.
  • Strong analytical and problem-solving skills.
  • Ability to develop and maintain client relationships.
  • Knowledge of current regulatory trends and their impact on clients.
  • Ability to work both independently and in a collaborative team environment.
