Executive Compensation Associate Attorney

Job Overview:
A prestigious law firm based in New York City, NY is seeking an experienced Associate Attorney with a focus on executive compensation matters. The ideal candidate will bring a strategic mindset, a strong grasp of executive pay structures, and a passion for supporting sophisticated clients on a variety of transactional and advisory compensation matters. This opportunity is offered through a specialized legal recruiting firm representing the hiring law firm.

Duties:

  • Advise clients on executive compensation and employee benefit arrangements in connection with mergers, acquisitions, and other business transactions

  • Draft and review compensation-related documents, including equity plans, incentive agreements, and employment contracts

  • Guide on tax (Sections 280G, 409A, etc.) and securities law issues related to executive compensation

  • Support due diligence efforts and negotiation of compensation terms in transactional settings

  • Collaborate with corporate, tax, and employment attorneys to deliver seamless client service

  • Interpret and apply complex regulatory and compliance frameworks to compensation structures

  • Conduct research and provide written analysis on evolving compensation-related legal matters

Requirements:

  • 3-5 years of dedicated experience in executive compensation, ideally within a large law firm environment

  • Familiarity with relevant tax codes and federal securities regulations affecting compensation programs

  • Excellent drafting, research, and analytical skills

  • Proven ability to manage multiple priorities and meet tight deadlines

  • Effective communicator with both legal professionals and business clients

Education:

  • Juris Doctor (J.D.) from an accredited U.S. law school

Certifications:

  • Admission to the New York State Bar (or eligibility for admission)

Skills:

  • Expertise in executive compensation and employee benefits law

  • Strong legal writing and verbal communication abilities

  • Sharp attention to detail and critical thinking

  • Ability to thrive in fast-paced, high-stakes legal environments

  • Team-oriented approach with an ability to work cross-functionally
