Job Overview

A law firm seeks an Executive Compensation, Benefits, and ERISA Senior Associate or Of Counsel in New York. The ideal candidate will have over seven years of experience in M&A, private equity, and restructuring transactions, focusing on executive compensation, employee benefits, and ERISA.

Duties

  • Conduct diligence reviews and negotiate transaction agreements.
  • Advise on IRC 280G and executive compensation/equity plans.
  • Work with SEC compensation disclosure rules for U.S. public companies.
  • Handle transactional matters involving tax-qualified retirement and welfare plans.

Requirements

  • Minimum of seven years of relevant experience.
  • Admitted to practice and in good standing in the applicable jurisdiction.
  • Outstanding academic credentials and law firm experience.

Education

  • Juris Doctor (JD) degree.

Certifications

  • Admitted to the bar in the relevant jurisdiction.

  • Proficiency in handling complex transactions.
  • Familiarity with SEC rules and regulations.
