Job Overview:
A prominent U.S.-based law firm is actively recruiting a skilled Corporate Securities Attorney with 5–12 years of relevant experience to join its expanding Corporate Practice Group. This attorney will handle securities regulatory filings and compliance matters across major U.S. exchanges and regulatory bodies. The position offers the flexibility to work from any of the firm's U.S. offices or remotely, supporting a strong work-life balance alongside impactful legal practice.

Location:

  • Philadelphia, PA

Duties:

  • Prepare and submit filings with the Securities and Exchange Commission (SEC), FINRA, NYSE, Nasdaq, and OTC Markets Group

  • Advise clients on securities law compliance, public company disclosure obligations, and listing requirements

  • Draft and review 10-Ks, 10-Qs, 8-Ks, proxy statements, registration statements, and related documents

  • Support transactions including IPOs, secondary offerings, and mergers

  • Provide legal counsel on corporate governance and shareholder communications

  • Collaborate across departments on complex capital markets and corporate transactions

Requirements:

  • 5–12 years of experience in corporate and securities law

  • Substantial experience with SEC filings and regulatory reporting

  • Ability to manage public company matters independently

  • Familiarity with relevant federal securities laws and exchange regulations

Education:

  • Juris Doctor (J.D.) from an ABA-accredited law school

Certifications:

  • Active license to practice law in current jurisdiction

  • Eligibility for admission without examination, if applicable

Skills:

  • Advanced legal writing and analysis

  • Strong client advisory and communication abilities

  • Highly organized with strong attention to detail

  • Capable of handling multiple projects with varying deadlines

  • Comfortable working both independently and in collaborative environments
