A law firm in Washington, DC, specializing in corporate law, seeks a Mid-to-Senior Level Corporate Associate Attorney to join their Startup and Venture Capital Group. The ideal candidate will have a strong background in representing technology and/or life sciences companies, with significant experience in startup formation, venture capital financing, and general corporate counseling.

Duties and Responsibilities:

  • Provide strategic legal advice to startup and emerging growth companies on corporate governance, financing strategies, intellectual property, and commercial transactions.
  • Draft and negotiate a variety of corporate agreements, including financing documents, equity compensation plans, and commercial contracts.
  • Conduct due diligence reviews and manage transactions related to venture capital investments, mergers and acquisitions, and joint ventures.
  • Advise clients on compliance matters concerning securities regulations, employment laws, and data privacy.

Requirements:

  • JD degree from an accredited law school.
  • Admission to the State Bar of Washington, DC (active and in good standing).
  • 3+ years of experience practicing corporate law at a reputable law firm, focusing on startup, venture capital, and emerging company representation.
  • Proven track record in handling complex corporate transactions and advising on corporate governance issues.
  • Strong understanding of corporate finance, securities laws, and regulatory compliance relevant to startups and venture capital.
  • Exceptional academic credentials and demonstrated ability to manage client relationships independently.
  • Excellent communication skills (oral and written) with the ability to articulate complex legal concepts clearly and concisely.
  • Previous in-house legal experience is advantageous, provided there is prior law firm experience.

  • Ability to manage multiple client matters simultaneously and prioritize tasks effectively.

Education and Certifications:

  • JD from an accredited law school.
  • Admission to the State Bar of Washington, DC.
